These Terms of Service ("Terms") constitute a legally binding agreement between you and Roam Log ("Company", "we", "us", or "our") concerning your use of our website and services.
By accessing or using our services, you agree to be bound by these Terms. If you do not agree with any part of these terms, you must not use our services.
2. Description of Services
Roam Log provides web development and hosting services including:
- Custom website design and development
- Web hosting and domain registration services
- Website maintenance and support
- E-commerce solutions
- Digital consultancy services
3. User Responsibilities
3.1 Account Information
You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorised access
3.2 Acceptable Use
You agree not to use our services for:
- Illegal activities or content that violates any laws
- Transmitting malware, viruses, or harmful code
- Harassment, abuse, or harmful behaviour towards others
- Unauthorised access to our systems or other users' accounts
- Distribution of spam or unsolicited communications
- Infringing on intellectual property rights
4. Web Development Services
4.1 Project Scope
All development projects are subject to a separate written agreement that will include:
- Project specifications and requirements
- Timeline and delivery milestones
- Payment terms and pricing
- Intellectual property arrangements
4.2 Client Responsibilities
Clients are responsible for:
- Providing necessary content, images, and materials
- Timely feedback and approval of deliverables
- Ensuring all provided content is legally compliant
- Obtaining necessary licences for third-party materials
5. Hosting Services
5.1 Uptime Guarantee
We provide a 99.9% uptime guarantee for our hosting services, calculated monthly. Scheduled maintenance and force majeure events are excluded from this guarantee.
5.2 Resource Limits
Hosting accounts are subject to reasonable resource limits. Excessive resource usage may result in additional charges or service suspension.
5.3 Data Backup
We perform regular backups of hosted data, but clients are responsible for maintaining their own backup copies. We cannot guarantee data recovery in all circumstances.
6. Payment Terms
6.1 Pricing
All prices are quoted in British Pounds (GBP) and include applicable VAT where required. Prices are subject to change with 30 days' notice.
6.2 Payment Methods
We accept major credit cards, bank transfers, and other payment methods as specified. Payment processing is handled by secure third-party providers.
6.3 Late Payments
Late payments may result in service suspension and additional charges. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month.
7. Intellectual Property
7.1 Client Content
Clients retain ownership of all content, images, and materials they provide. Clients grant us a licence to use such materials solely for providing our services.
7.2 Development Work
Upon full payment, clients receive ownership of custom development work specifically created for their project. General methodologies, tools, and frameworks remain our property.
7.3 Third-Party Materials
Any third-party software, plugins, or materials remain subject to their respective licence terms.
8. Privacy and Data Protection
Our collection and use of personal information is governed by our Privacy Policy, which forms an integral part of these Terms.
9. Service Availability
We strive to provide continuous service availability but cannot guarantee uninterrupted access. We may suspend services for:
- Scheduled maintenance and upgrades
- Emergency repairs and security updates
- Violation of these Terms
- Non-payment of fees
10. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability is limited to the amount paid for services in the 12 months preceding the claim
- We are not liable for indirect, incidental, or consequential damages
- We do not warrant that our services will be error-free or uninterrupted
- Clients are responsible for maintaining appropriate insurance coverage
11. Indemnification
Clients agree to indemnify and hold us harmless from any claims, damages, or expenses arising from:
- Use of our services in violation of these Terms
- Client content that infringes third-party rights
- Breach of applicable laws or regulations
- Unauthorised use of client accounts
12. Termination
12.1 Termination by Client
Clients may terminate services with 30 days' written notice. Prepaid fees for unused services may be refunded at our discretion.
12.2 Termination by Company
We may terminate services immediately for:
- Violation of these Terms
- Non-payment of fees
- Illegal or harmful activities
- Excessive resource usage
12.3 Effect of Termination
Upon termination, we will provide reasonable opportunity for data retrieval, subject to payment of outstanding fees.
13. Force Majeure
We are not liable for delays or failures in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, network failures, or cyber attacks.
14. Governing Law
These Terms are governed by English law. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to Terms
We may modify these Terms at any time by posting updated terms on our website. Continued use of our services constitutes acceptance of modified terms. Significant changes will be communicated via email.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
